User Agreement (Terms of Service)
This User Agreement ("Terms") governs use of [APP NAME] ("App"), including the mobile application and web dashboard, operated by [COMPANY LEGAL NAME] ("we", "us"). Our Privacy Policy explains how we collect and use data and is incorporated into these Terms.
1) Acceptance
By accessing or using the App, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the App.
If you use the App on behalf of a company or organization ("Organization"), you confirm you have authority to bind that Organization, and "you" includes the Organization.
2) Who the App is for
The App supports workforce management, scheduling, time tracking (including optional location/geofence and photo check-ins), timesheets, approvals/locking, payroll-ready summaries, exports, announcements, notifications, and administrative controls.
The App is a tool for recording and managing work-related information. Your Organization remains responsible for workplace policies, supervision, payroll decisions, and compliance with applicable labor, tax, and employment laws.
3) Accounts, roles, and administrator responsibility
You must provide accurate information and keep credentials confidential. You are responsible for all activity under your account.
Organizations may assign roles (e.g., Owner/Manager/Worker). Owners are responsible for configuring the App (rates, overtime rules, approval workflows, locking, permissions), inviting users, and ensuring settings match real policies and legal requirements.
If you are a Worker user, access is provided by your Organization. Your Organization may restrict or revoke your access.
4) Location, geofencing, and photo check-ins
Some features may use device capabilities such as location services, geofencing, camera/photos, and notifications.
Optional features: Your Organization may enable location/geofence checks and/or photo check-ins for work verification and attendance workflows.
Consent & permissions: You control device permissions, but your Organization may require certain features for workplace processes. If you disable required permissions, some features may not work and time records may be incomplete.
No guarantee: Location and photo signals can be inaccurate due to device settings, GPS limitations, network conditions, or user behavior. The App does not guarantee perfect accuracy or availability of these signals.
5) Time records, timesheets, and payroll outputs (important)
The App may generate totals, overtime calculations, approvals, and payroll-ready summaries based on configurations and recorded events (check-ins/outs, breaks, schedules, rates).
These are informational outputs. Final payroll determination, wage compliance, overtime rules, and pay accuracy are the responsibility of the Organization.
You should review outputs before using them for payroll. Exports (CSV/Excel/PDF) may require additional verification depending on your policies and jurisdiction.
6) Acceptable use
You agree not to:
- misuse, disrupt, or interfere with the App (including attempting to bypass rate limits or security),
- access or attempt to access data you do not own or are not authorized to use,
- reverse engineer, decompile, scrape, or automate access except where allowed by law,
- upload malware or use the App for unlawful, harmful, or abusive purposes,
- share accounts or resell access unless expressly permitted by your plan.
7) Organization data and user content
Your data: Organizations retain ownership of their data (including schedules, time logs, photos, locations, timesheets, rates, announcements, and exports).
Permission to operate: You grant us a limited license to host, process, transmit, and display your data to provide and improve the App.
Feedback: If you submit feedback, you grant us the right to use it without restriction or compensation.
8) Third-party services and app stores
The App may rely on third-party services (e.g., hosting, analytics, notifications, mapping). Your use may also be subject to those providers' terms.
If you purchase a subscription through the Apple App Store or Google Play Store:
- billing, renewal, and cancellation are handled by the store,
- refunds are governed by the store's policies,
- you manage subscriptions in your store account settings.
9) Availability, changes, and updates
We may modify, suspend, or discontinue the App (in whole or part), release updates, or change features at any time. We aim for reliable service but do not guarantee uninterrupted availability.
10) Termination and suspension
We may suspend or terminate access if we reasonably believe there is misuse, security risk, violation of these Terms, or legal compliance risk. Organizations may also deactivate users at any time.
Upon termination, your right to use the App ends. Data access after termination (including exports) depends on your plan, organizational policies, and applicable law.
11) Disclaimers
The App is provided "as is" and "as available." To the maximum extent permitted by law:
- we disclaim all warranties, express or implied (including fitness for a particular purpose and non-infringement),
- we do not warrant that the App will be error-free, fully secure, or always available,
- we do not guarantee accuracy of time, location/geofence, photo, or payroll-related outputs.
12) Limitation of liability
To the maximum extent permitted by law:
- we are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, business interruption),
- our total liability for any claim is limited to the amount you paid to us for the App in the 12 months before the event giving rise to the claim (or USD $100 if you paid nothing), whichever is greater.
Some jurisdictions do not allow certain limits; in that case, limits apply to the fullest extent allowed.
13) Indemnity
If you (or your Organization) misuse the App or violate these Terms, you agree to defend and indemnify us from resulting claims, damages, liabilities, and expenses (including reasonable legal fees).
14) Changes to these Terms
We may update these Terms. The "Last updated" date will change, and we may notify you in-app or via email (if available). Continued use after changes means you accept the updated Terms.
15) Governing law
These Terms are governed by the laws of [JURISDICTION/COUNTRY], and disputes will be handled in the courts of [VENUE/CITY], unless mandatory law says otherwise.
